Termination Letter Format (India), Due Process, Sample & Free Generator
A termination letter ends the employment relationship in writing. In India the letter matters less than the process behind it: the ground must be genuine, any misconduct must have been put to the employee and answered, and dues must be settled. Keep the tone formal, objective and non-accusatory, and state facts rather than opinions.

Tips
- • Never terminate for misconduct without a show cause notice and a genuine opportunity to reply first. The letter is the last step, not the first.
- • State the ground you can evidence. A vague letter is harder to defend than a specific one.
- • Check the notice period in the employee's own appointment letter rather than assuming a standard one.
- • Retrenchment above the statutory headcount threshold needs prior government permission, so confirm your position before issuing.
Frequently asked questions
What is the correct process before issuing a termination letter in India?
Where the ground is misconduct, the employee should first receive a show cause notice setting out the allegation, be given a real chance to reply, and where warranted an inquiry should be held. Only after considering the reply should a decision be taken. For performance, there should be a documented trail of feedback and an improvement opportunity. The letter records the outcome of that process.
Can an employer terminate without notice?
The notice period in the appointment letter applies, and the employer can usually pay salary in lieu of notice instead of having the employee serve it. Termination without any notice or pay in lieu is generally only contemplated for proven serious misconduct, after due process.
What is the difference between termination and resignation?
Termination is initiated by the employer; resignation is initiated by the employee. The documents differ: termination produces a termination letter, while a resignation produces an acceptance letter and then a relieving letter.
Should a termination letter state the reason?
Yes. A letter that states a clear, factual ground is easier to defend than one that is silent or vague. Keep it objective, reference the process that preceded it, and avoid characterising the person rather than the conduct.
